Terms of Service

1. Acceptance of Terms
By accessing or using the Nuso platform (“Service”), available at nuso.co.uk and app.nuso.co.uk, you agree to be bound by these Terms of Service (“Terms”). If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms, in which case “you” refers to that entity.
If you do not agree to these Terms, you must not access or use the Service. Your continued use of the Service following the posting of any changes to these Terms constitutes acceptance of those changes.
2. Description of Service
Nuso is a business-to-business software-as-a-service (SaaS) platform designed for Shopify merchants. The Service provides:
- Analytics dashboards: revenue, orders, profit-and-loss, product performance, customer cohort and retention reporting powered by data synced from your Shopify store.
- Marketing analytics: channel-level return on ad spend (ROAS), cost per order (CPO), marketing efficiency ratio (MER) tracking and attribution.
- Marketing Mix Modelling (MMM): statistical and Bayesian modelling tools including OLS regression, PyMC, Google Meridian and Meta Robyn integrations to measure the incremental impact of your marketing spend.
- AI Studio: AI-powered creative tools including product image editing, background removal, copy generation and alt-text writing, powered by Google Gemini and other large language models.
- AI Ad Creative: automated generation of advertising creatives optimised for social media and paid channels.
- Inventory Planner: demand forecasting and reorder alerts based on historical sales velocity.
- Custom Reports: configurable report builder allowing you to create, save and schedule bespoke reports.
- Customer Insights: customer segmentation, lifetime value analysis and retention metrics.
- Toby AI: a conversational AI analyst that answers natural-language questions about your store data.
We may add, modify or discontinue features of the Service at any time. We will use reasonable efforts to notify you of material changes.
3. Account Registration & Security
To use the Service you must create an account by providing a valid email address, your name and a password. You may also be invited to the platform by an existing organisation administrator.
You are responsible for:
- Maintaining the confidentiality of your login credentials.
- All activity that occurs under your account.
- Notifying us immediately at support@nuso.co.uk if you suspect unauthorised access to your account.
We reserve the right to suspend or terminate accounts that we reasonably believe have been compromised or are being used in violation of these Terms.
Each account belongs to a single individual. You may not share login credentials with other people. Organisations requiring multiple users should invite each user individually through the platform’s built-in invitation system.
4. Subscription Plans & Billing
Nuso operates a per-seat subscription model. Details of current plans and pricing are available on our pricing page. All prices are quoted in British pounds sterling (GBP) excluding VAT unless otherwise stated.
- Free trial: New organisations receive a 30-day free trial with 25 AI credits included. The trial ends when 30 days have elapsed or all 25 trial credits have been consumed, whichever occurs first. No payment information is required to start a trial. There is no permanent free plan.
- Per-seat pricing: After the trial, each user in your organisation requires a paid seat. Seats are billed at £12 per seat per month (monthly billing) or £10 per seat per month (annual billing, billed as £120 per seat per year). The seat count determines the maximum number of active users in your organisation at any time.
- Annual seat commitments: If you choose annual billing, your seat quantity is locked for the duration of the annual term. Additional seats may be added mid-term and are prorated for the remainder of the term. Seat reductions take effect at the next annual renewal — no mid-term refund is provided for removed annual seats.
- Seat management: Before reducing your seat count, you must deactivate specific users so that your active user count does not exceed the new seat limit. The organisation owner or admin seat cannot be removed.
- Mid-cycle seat additions: Adding a seat mid-billing-cycle will be prorated for the remaining days in the current period.
Payment processing is handled by Stripe. By subscribing, you authorise Stripe to charge your chosen payment method on a recurring basis. You agree to Stripe’s terms of service in connection with your use of Stripe as a payment processor.
Your organisation may have up to three active Stripe subscriptions simultaneously (seats, AI credit tier and digital workers). Each subscription is billed independently. Failure to pay the seat subscription will result in suspension of access to the Service. Failure to pay the credit subscription will stop credit renewal but will not affect dashboard access. Failure to pay the worker subscription will disable digital workers only.
Subscription fees are non-refundable except where required by applicable law. If you cancel your seat subscription, you will retain access until the end of your current billing period, after which your account will be suspended.
We reserve the right to change our pricing at any time. If we increase the price of your current plan, we will give you at least 30 days’ written notice before the new price takes effect. You may cancel your subscription before the price change takes effect.
5. AI Credits & Usage
Certain AI-powered features of the Service — including Toby AI, AI Studio (image generation, ad creative, video generation, text generation, alt-text), Digital Workers, Marketing Mix Modelling (MMM) and Store Insights — consume AI credits. Each AI operation deducts a specified number of credits from your organisation’s balance. Current credit costs per operation are listed on our pricing page.
Monthly Credit Subscriptions
- AI credits are purchased as a separate monthly subscription in one of four tiers (Starter, Growth, Pro or Scale). Credits are allocated at the start of each billing cycle.
- Credits do not roll over. Any unused credits from your monthly subscription are forfeited at the end of each billing cycle and cannot be carried forward, refunded or exchanged for monetary value.
- You may upgrade or downgrade your credit tier at any time. Changes take effect at the start of your next billing cycle.
One-Off Credit Top-Ups
- Additional credits may be purchased as one-off top-up packs at any time.
- Top-up credits are valid for 12 months from the date of purchase. After 12 months, any unused top-up credits will expire.
- When credits are consumed, monthly subscription credits are used before top-up credits.
General Credit Terms
- AI credits are non-refundable. Once purchased, credits cannot be restored, reversed or exchanged for monetary value, whether consumed or not.
- Credits are non-transferable between organisations.
- We reserve the right to adjust the credit cost of individual AI operations as underlying model costs change. We will provide at least 30 days’ written notice of any material changes to credit pricing.
- Digital Workers consume credits from your organisation’s credit balance when executing automated tasks. Workers will automatically pause if your credit balance reaches zero. See Section 5a for full Digital Worker terms.
You acknowledge that AI-generated outputs (images, text, video, suggestions) are produced by third-party machine learning models and may contain errors, inaccuracies or artefacts. Nuso does not guarantee the accuracy, suitability or fitness for purpose of any AI-generated content. You are solely responsible for reviewing and approving AI outputs before use.
5a. Digital Workers
Digital Workers are optional paid add-ons that automate business tasks on configured schedules. Digital Workers are subject to the following terms:
- Pricing: Each Digital Worker costs £5 per worker per month, or £25 per month for all six workers (bundle). Digital Worker subscriptions are billed separately from seat and credit subscriptions.
- Requirement: An active seat subscription is required to use Digital Workers. If your seat subscription is cancelled or suspended, all Digital Workers will be deactivated.
- Credit consumption: Digital Workers consume AI credits from your organisation’s credit balance when executing tasks. The £5 per month fee provides access to the worker; all task execution is billed from your credit balance.
- Auto-pause: If your organisation’s credit balance reaches zero, all active Digital Workers will automatically pause. Workers will resume when credits are replenished (via subscription renewal or top-up purchase). Nuso will notify the organisation administrator when workers are paused due to insufficient credits.
- User responsibility: You are solely responsible for configuring task frequency, monitoring credit consumption and managing your credit balance. Nuso is not liable for credit consumption resulting from automated worker tasks running on schedules you have configured.
- Cancellation: Digital Workers deactivate immediately upon cancellation of the worker subscription. Prorated refunds for mid-cycle cancellation are handled by Stripe.
6. Data & Privacy
Your privacy is important to us. Our collection, use and protection of personal data is governed by our Privacy Policy, which forms part of these Terms.
Key points:
- Nuso is operated by Nuso Ltd, registered in England & Wales, and complies with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.
- Your data is processed and stored on infrastructure located within the European Union and the United Kingdom.
- We do not sell, rent or trade your personal data or business data to third parties.
- Data shared with third-party sub-processors (Stripe, Google Gemini, Shopify, Resend, DigitalOcean) is limited to what is strictly necessary to deliver the Service and is governed by their respective privacy policies.
By using the Service, you consent to the collection and processing of data as described in our Privacy Policy.
7. Shopify Data
To use the Service, you must connect your Shopify store by providing API credentials. By doing so, you grant Nuso read-only access to your Shopify store data, including but not limited to orders, products, customers, inventory levels and store metadata.
- Nuso syncs your Shopify data on a regular schedule and stores it in our managed PostgreSQL databases for the purpose of generating analytics, reports and AI features.
- We do not modify, create or delete any data in your Shopify store. Our access is strictly read-only.
- You represent and warrant that you have the necessary rights and permissions to share your Shopify store data with Nuso and that doing so does not violate any agreement you have with Shopify or any third party.
- If you disconnect your Shopify store or terminate your account, we will delete your synced Shopify data within 30 days.
8. Intellectual Property
The Service, including its software, design, text, graphics, logos, icons, algorithms, models and documentation, is the property of Nuso Ltd or its licensors and is protected by copyright, trademark and other intellectual property laws of England & Wales and international treaties.
- Our IP: You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your internal business purposes during the term of your subscription. You may not copy, modify, distribute, reverse-engineer, decompile or create derivative works based on the Service.
- Your data: You retain all rights to your business data, Shopify store data and any content you upload to the Service. By using the Service, you grant Nuso a limited licence to process, store and display your data solely for the purpose of providing the Service to you.
- AI-generated content: Content generated by AI features (images, text, ad creatives) is provided for your use. To the extent permitted by applicable law, you may use AI-generated outputs for your business purposes. Nuso does not claim ownership of AI-generated outputs produced from your data and prompts.
9. Limitation of Liability
To the maximum extent permitted by applicable law:
- The Service is provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose and non-infringement.
- Nuso does not warrant that the Service will be uninterrupted, error-free, secure or free of viruses or other harmful components.
- Nuso shall not be liable for any indirect, incidental, special, consequential or punitive damages, including but not limited to loss of profits, revenue, data, business opportunities or goodwill, arising out of or in connection with your use of the Service.
- Our total aggregate liability to you for any claims arising out of or relating to the Service shall not exceed the total fees paid by you to Nuso in the twelve (12) months immediately preceding the event giving rise to the claim.
- Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by law.
10. Termination
You may terminate your account at any time by contacting us at support@nuso.co.uk or by using the account settings within the platform. Upon termination:
- Seat subscription: Access to the Service continues until the end of the current billing period, after which all users in the organisation will be locked out.
- Monthly credit subscription: Any remaining monthly credits are available until the end of the current billing cycle, at which point they are forfeited. Credits do not roll over and are not refundable.
- Top-up credits: Remaining top-up credits are available for 30 days after all subscriptions have been cancelled. After 30 days, unused top-up credits are forfeited.
- Digital Workers: Workers deactivate immediately upon cancellation of the worker subscription.
- We will delete your account data and synced Shopify data within 30 days of full account termination, except where retention is required by law.
We may suspend or terminate your access to the Service at any time, with or without notice, if:
- You breach any provision of these Terms.
- Your use of the Service poses a security risk or may cause harm to other users or our infrastructure.
- We are required to do so by law or regulation.
- Your account has been inactive for more than 12 consecutive months.
11. Changes to Terms
We may update these Terms from time to time. When we make material changes, we will:
- Update the “Last updated” date at the top of this page.
- Notify you by email or by a prominent notice within the Service at least 14 days before the changes take effect.
If you do not agree to the revised Terms, you must stop using the Service before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of England & Wales, without regard to conflict-of-law principles.
Any dispute arising out of or in connection with these Terms, including any question regarding their existence, validity or termination, shall be subject to the exclusive jurisdiction of the courts of England & Wales.
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
